Terms of Service

By accessing or using the Services you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services. If you are accepting on behalf of an organization you represent that you have authority to bind that organization.

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. You are responsible for safeguarding your account credentials and for all activity that occurs under your account.

Subject to your compliance with these Terms, SyntheStudio grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services. All trademarks, logos, source code, designs and other intellectual property are owned by SyntheStudio or its licensors.

Fees are billed in advance and are non-refundable except as set out in our Refund Policy. Late payments may incur interest at the lesser of 1.5% per month or the maximum allowed by Wyoming law.

You agree to the rules in our Acceptable Use Policy. Violations may result in suspension or termination without refund.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

TO THE FULLEST EXTENT PERMITTED BY LAW, SYNTHESTUDIO'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO SYNTHESTUDIO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES.

You agree to indemnify and hold harmless SyntheStudio, its officers, directors, employees and agents from any claims, damages, losses and expenses (including reasonable attorneys' fees) arising from your use of the Services or breach of these Terms.

We may suspend or terminate your access at any time for any reason, including breach of these Terms. Sections that by their nature should survive termination will survive.

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law principles. The exclusive venue for disputes is the state or federal courts located in Laramie County, Wyoming, and the parties consent to personal jurisdiction there. Nothing in this section limits your rights under applicable consumer protection laws.

Except for claims for injunctive relief or small-claims matters, any dispute will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. You and SyntheStudio waive any right to a jury trial or to participate in a class action. You may opt out of this arbitration provision within 30 days of first accepting these Terms by emailing legal@synthestudio.com.

We may update these Terms from time to time. Material changes will be posted here with a new effective date and, where required, communicated by email.
